1. Acceptance of Terms

By accessing or using the Aezi Group platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Aezi Group ("we", "us", "our"). We reserve the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Services

Aezi Group is a B2B matchmaking SaaS platform that provides:

• AI-powered Website Builder: Tools to help businesses create, customize, and publish professional websites.
• Buyer-Supplier Matchmaking: A digital platform that connects businesses with both customers and suppliers globally, facilitating B2B introductions and opportunities.

Service Model: Aezi Group provides matchmaking and facilitation services only. We are a digital service platform with no physical products, inventory, or shipping. Customers gain immediate digital access upon payment. We introduce parties who may have compatible business interests but do not participate in their transactions. We do not:

• Participate in, manage, or oversee any transactions between matched parties
• Act as a broker, agent, payment facilitator, or intermediary in commercial deals
• Handle payments, contracts, deliveries, or any other commercial arrangements between matched parties
• Act as a payment aggregator or process payments for transactions between matched parties
• Verify, endorse, or guarantee any business, product, service, or individual on the platform

All transactions happen outside our platform. Any agreements, negotiations, contracts, pricing, or transactions that result from introductions made through our Service are entirely between the matched parties and occur outside the Aezi platform. Aezi bears no responsibility for the outcomes of such business relationships.

3. Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activity.

4. Subscription and Payment

4.1 Pricing

Aezi Group offers the following subscription plans:

• Hobby Plan: $200 USD per month — includes website builder, basic matchmaking features, and email support.
• Pro Plan: $1,000 USD per month — includes unlimited website edits, unlimited lead generation, custom domain, SEO tools, analytics, automated outreach, and priority support.
• Enterprise Plan: Custom pricing — includes all Pro features plus multiple team accounts, API access, dedicated account manager, custom AI training, and SLA guarantees.

Annual Billing Discount: Subscribe on annual billing and receive 20% off the regular monthly price.

4.2 Billing

Subscriptions are billed monthly in advance. By subscribing, you authorize us to charge your designated payment method. All fees are non-refundable except as required by law.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until that date.

4.4 Price Changes

We reserve the right to modify our pricing at any time. We will provide you with reasonable notice of any price changes. Your continued use of the Service after the price change constitutes acceptance of the new price.

5. User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable national or international law or regulation
• Transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• Impersonate or attempt to impersonate Aezi Group, an Aezi Group employee, another user, or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Use any robot, spider, or other automatic device to access the Service for any purpose without our express written permission
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service

Regarding matched parties: You acknowledge that Aezi Group does not conduct background checks, verify credentials, or guarantee the legitimacy of any business or individual introduced through the Service. You are solely responsible for conducting your own due diligence before entering into any business relationship or transaction.

6. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by Aezi Group, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

7. Data Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your personal information.

We collect and process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

8. Limitation of Liability

IMPORTANT: To the maximum extent permitted by applicable law:

• Aezi Group provides the Service on an "as is" and "as available" basis without warranties of any kind, either express or implied
• We do not warrant that the Service will be uninterrupted, secure, or error-free
• We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service
• We are not responsible for any business relationships, transactions, agreements, or dealings between matched parties
• We do not verify, endorse, or guarantee any business, product, service, or individual introduced through the Service
• We are not liable for any damages, losses, or disputes arising from interactions or transactions between matched parties

In no event shall Aezi Group, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any business relationship, transaction, or agreement between matched parties

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Aezi Group and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your User Content
• Any business relationship, transaction, or agreement you enter into with parties matched through the Service

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us at support@aezi.uk.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aezi Group regarding the Service and supersede all prior agreements and understandings, whether written or oral.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
